HISTORY OF THE GENTRY REGISTER CLUB

Our Club was formed in the autumn of 1977 by Vince French and by January 1978 boasted over 20 members.

The first Club magazine was called 'Replicar' and was produced in early 1978, followed by further issues in August and December of that year.  By November 1978 the membership had approached 60.  It was due to this growth in membership that the six Areas were formed and Area Secretaries appointed.

These Areas are London & South East, Southern, Midlands, North West, North East and Scotland.

In the summer of 1979 the magazine was renamed 'The Gentry Journal'

The Journal is still produced quarterly with items and articles supplied by the members.

The Register is run by a Committee consisting of a Chair, General Secretary, Treasurer, Journal Editor, Technical Advisor and the Area Secretaries.

There is also a Sales Secretary who is responsible for items such as Car badges, magazine binders and various items of clothing.

The Club currently has approximately 150 members who attend many shows around the Country.

The AGM of the club is held at the National Kit Car show at Stoneleigh near Coventry during the first May Bank holiday each year. At this time the committee are elected, any issues raised and the Vince French trophy is awarded.

The Vince French Trophy is awarded by the members attending the National Kit Car show to the car on the Club stand that they feel deserves recognition.

 

CLUB RULES AND CONSTITUTION

Rules and Constitution of
The Gentry Register

1 TITLE

The name of the club shall be "THE GENTRY REGISTER", hereinafter referred to as The
Register.

2 OBJECTS

(a) To promote interest in and enthusiasm for, and public awareness of the
Gentry.
(b) To establish and maintain good relations with the manufacturer.
(c) To put owners in touch with each other.
(d) To pool experience of building, modification and maintenance.
(e) To assist members in buying, selling and exchanging cars and spares.
(f) To hold regular meeting and occasional rallies.
3 MEMBERSHIP

(a) Membership of The Register shall be open to any person interested in
the objects of The Register, and who agrees to abide by the rules and constitution.
Written application shall be made to the General Secretary except by Honorary
Members.
(b) Membership shall entitle a person and spouse to all benefits of The
Register, these benefits may require an additional payment above the annual
subscription.
(c) The committee shall have the power to grant honorary membership to
any person for his / her services to The Register, or to kit car motoring. Not more
than two persons shall be elected in any one year.
(d) All members must abide by the rules and constitution. The committee shall
have the power to expel any member who in their opinion, is guilty of violation
the rules and constitution of The Register, of conduct prejudicial to the best
interests of The Register. The decision of the committee is binding.
4 SUBSCRIPTIONS & RENEWALS

(a) The annual subscription shall be determined at the Annual General
Meeting (AGM) of the Register.

(b) Subscriptions shall become due on 1st January each year.
(c) Any member failing to renew his / her membership by 1st March, shall
cease to be entitled to any of the benefits of membership.
(d) Membership commencing after 31st March shall be paid at varying
quarterly charges.
(e) New members and former members rejoining after membership has
lapsed shall pay a joining fee, in addition to the annual subscription.
(f) An additional fee may be payable by overseas members.
5 COMMITTEE

(a) The committee shall be elected at a general meeting of The Register.
(b) The committee shall consist of the following Officers: a yearly elected
Chairman, General Secretary, Treasurer, Editor, Sales Secretary, all Regional
Secretaries and Technical Co-ordinator.
(c) In the absence of suitable nominees for any of the above offices, certain
offices may be combined with the approval of at least two thirds of those voting at
a general meeting. Except that the offices of General Secretary and Treasurer may
not be combined with each other.
(d) The committee shall have the power to co-opt members on to the
committee. Such members are not entitled to vote at committee meetings.
(e) The quorum for committee meetings shall be half the members of the
committee.
(f) Any committee member who fails to attend three consecutive meetings
shall be deemed to have resigned, and the committee shall then have the power to
appoint a replacement. The committee may re-appoint the member concerned at
its discretion.
(g) All committee members shall retire annually at the AGM and be eligible
for re-election.
(h) After four consecutive years service on the committee, a member will be
required to obtain a two-thirds voting majority at the AGM in order to retain his /
her position on the committee. In subsequent consecutive year the same rule shall
apply.
(i) The committee shall have the right to appoint a deputy for any member
of the committee unable to carry out his / her duties.

6 GENERAL MEETINGS

(a) The annual general meeting shall be held within 14 months of the
preceding one. The General Secretary shall give at least 6 weeks and not more
than 10 weeks notice to all members of the date, time and place thereof. All
motions for consideration by the AGM shall be submitted to the General Secretary
in writing at least 3 weeks before the date of the AGM. The agenda for the AGM
shall be circulated to members in attendance at the AGM. It shall be accompanied
by the balance sheet and Auditors report.
(b) An extraordinary general meeting must be called upon a requisition
signed by four members being forwarded to the General Secretary, or by vote at a
committee meeting. The object of the meeting shall be stated on the requisition
and no other matters may be discussed at the meeting. The meeting shall be held
within forty days, twenty days notice being given to members.
(c) The quorum for a general meeting of The Register shall be ten. In the
event of a quorum not being achieved the meeting shall be recalled within six
weeks at a suitable venue, and the number of members present at that meeting
shall represent a quorum.
(d) All members together with their spouses, whose subscriptions are not in
arrears shall be entitled to vote at all general meetings.
(e) A two-thirds majority will be necessary for the carrying out of a
resolution to amend the rules and constitution of The Register. A simple majority
will be required for all other motions, except a motion arising out of the
application of rule 5 (h).
7 FINANCE

(a) The Register’s financial year shall end on 31st December each year.
(b) The accounts of The Register shall be certified by the Hon. Auditor, who
shall be appointed each year at the AGM.
(c) The Treasurer is responsible for the maintenance of accounts,
and for their submission at each general meeting of The Register.
(d) A bank account shall be operated in the name of The Register,
and cheques shall be signed by any two members of the committee.
8 REGIONS

For the purposes of administration of social and competitive events,


and for the detailed administration, The Register shall consist of the following
regions, 1 North West 2 Midlands 3 Southern 4 North East and Scotland 5
London and South East 6 Overseas. Each member being affiliated to one of the
aforesaid regions. Each region to have a Regional Secretary elected at the AGM.
Overseas members interests to be looked after by the General Secretary.

9 LIABILITY

It shall be a rule conditional on membership of The Register, or as a guest, that
neither The Register nor members of the committee shall be held responsible in
any way for any injury or damage to persons or property however caused whilst
taking part in any activity of The Register.

10 GUESTS

Members may include guests in any of their activities, but these guests shall be
bound by the rules and constitution of The Register. In this respect it shall be
deemed that members shall draw their guests attention to rule 9 of The Register.

11 EVENTS

The committee may co-opt a member to organise an event and he / she shall be
responsible for the finance of the event. Positive displays of Gentries shall be
Gentries only at specified shows and shall be at the discretion of the event
organiser or committee.

12 WINDING UP

If resolved at a general meeting that The Register should be disbanded, the funds
shall be donated to a worthy cause at the discretion of the committee.

13 INTERPRETATION

Interpretation of the rules and constitution shall be made by the committee, whose
decision is final.

These rules were as amended at the AGM of The Register held on 4th May
2003. Rules 9 and 10 are currently under review.
